Welltech USA – Terms & Conditions

1. Limited Warranty

Welltech USA warrants that its products shall be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of purchase.

This warranty is limited to, at Welltech USA’s sole discretion, the repair or replacement of defective components with new or refurbished parts.

This warranty does not cover:

Full product replacement or refunds

Labor costs, including installation, removal, or reinstallation

Shipping costs (both to and from Welltech USA)

To submit a warranty claim, the buyer must provide:

Proof of purchase

Product model information

Clear photos and/or videos of the defect

A detailed description of the issue

This warranty shall be void if the product has been:

Modified or altered without written authorization

Improperly installed

Misused, abused, or subjected to abnormal conditions

2. Installation & System Compatibility

The buyer assumes full responsibility for ensuring that all products are suitable for their intended application.

This includes, but is not limited to:

Electrical systems (line voltage, low voltage)

Control systems (including DMX or other signal protocols)

Wiring configurations and infrastructure

Welltech USA shall not be responsible or liable for:

Improper installation

Incompatibility with existing systems

Third-party installation requirements or costs

Any costs related to rewiring, troubleshooting, or system modifications shall be borne solely by the buyer.

3. Custom Orders (Final Sale)

All custom-made, made-to-order, or specially configured products are non-cancelable, non-returnable, and non-refundable once production has commenced or the order has been confirmed.

By approving drawings, specifications, or placing an order, the buyer acknowledges and agrees to:

Full responsibility for product selection

Compatibility with the intended installation environment

Acceptance of all design and technical specifications

Custom products may only be eligible for warranty claims in the event of verified manufacturing defects.

4. Returns & Restocking

Returns are accepted only for select standard products and strictly at the sole discretion of Welltech USA.

All approved returns must comply with the following conditions:

A Return Merchandise Authorization (RMA) must be issued in advance

Products must be unused, in original packaging, and in resalable condition

The buyer is responsible for all return shipping costs

A non-negotiable restocking fee of no less than twenty percent (20%) of the original purchase price shall apply to all approved returns.

Restocking fees apply regardless of the reason for return, except in cases of verified manufacturing defects covered under warranty.

All returned items are subject to inspection prior to issuance of any refund. Welltech USA reserves the right to reject any return that does not meet the above requirements.

5. Shipping, Delivery & Risk of Loss

All shipments must be inspected immediately upon delivery.

Any visible damage, shortage, or discrepancy must be reported within twenty-four (24) hours

Failure to report within this timeframe may result in denial of claims

All claims for shipping damage shall be filed with the carrier.

Title to and risk of loss for all products pass to the buyer upon shipment from Welltech USA’s facility.

6. Orders & Acceptance

Orders may be placed via website, email, phone, or authorized sales representatives.

All orders are subject to final acceptance by Welltech USA.

Order confirmation constitutes acceptance of:

Product specifications

Pricing

Lead times

These Terms & Conditions

7. Pricing & Payment Terms

All prices are subject to change without prior notice.

Final pricing shall be confirmed only upon written order acknowledgment issued by Welltech USA.

Promotional or discounted pricing applies only within the stated timeframe and conditions.

8. Limitation of Liability

To the maximum extent permitted by law, Welltech USA shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:

Labor or installation costs

Project delays

Loss of profits, revenue, or business opportunities

In all cases, Welltech USA’s total liability shall not exceed the original purchase price of the product giving rise to the claim.

9. Force Majeure

Welltech USA shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including but not limited to:

Natural disasters

Acts of God

War, terrorism, or civil unrest

Supply chain disruptions

Labor shortages

Government actions or regulations

10. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Texas.

The parties agree to first attempt to resolve any dispute through good-faith negotiations.

If unresolved, any legal action shall be brought exclusively in the courts located within the State of Texas.

The prevailing party shall be entitled to recover reasonable attorneys’ fees and legal costs.

11. Entire Agreement

These Terms & Conditions constitute the entire agreement between the parties and supersede all prior agreements, communications, or understandings, whether written or oral.

12. Acceptance of Terms

By placing an order, the buyer acknowledges that they have read, understood, and agreed to be bound by these Terms & Conditions.
